Terms of Service

1. Who Can Use Industree

You must be at least 18 years old to use the Platform. By using Industree, you represent that you are 18 or older, that you have the legal capacity to enter into these Terms, and that you are not barred from using the Platform under the laws of your jurisdiction.

You are responsible for ensuring that your use of the Platform complies with all laws that apply to you. We may restrict or decline access to anyone, at any time, where we believe access would create legal or regulatory risk.

2. Invite-Only Access

During our launch phase, Industree is invite-only. Access requires a valid invite code, and your invite allocation depends on how you joined the community. Invite codes are for personal, good-faith sharing only. You may not sell, auction, or otherwise commercialize invite codes, and you may not use codes to create fake or duplicate accounts. We may revoke unused codes or adjust allocations at any time.

3. Your Account

To use most features you must create an account using a valid email and phone number. You agree to provide accurate information and to keep it current. You are responsible for activity that occurs under your account and for keeping your login credentials secure. Notify us promptly through our contact form at industr.ee/contact if you believe your account has been compromised.

You may not impersonate any person or entity, create an account on behalf of someone else without authorization, or maintain more than one account to gain an unfair advantage in contests, voting, referrals, or rewards.

4. How Industree Works

Industree is a community-owned music discovery platform. Members discover and champion emerging artists through genre-based contests, earn in-platform points called Seeds, and help decide which artists advance. The core mechanics include:

• Contests. Each contest runs for a fixed period (currently seven days) and consists of a scouting phase followed by a finals phase. Members vote for and predict the performance of competing artists.
• Submissions. Members may submit artists to the queue for review. Submissions are reviewed for legitimacy only — that the artist and music are real — not for quality or merit.
• Artist profiles and claims. Artists may claim a profile by verifying control of their associated music accounts (for example, by placing a verification code in a Spotify bio). Claims are subject to review and approval.
• Rewards and recognition. Members earn Seeds, badges, leaderboard standings, and other recognition based on participation and accuracy.

We may change, suspend, or discontinue any contest, feature, reward structure, or mechanic at any time, including the rules described in our FAQ and help materials. The FAQ and in-product guidance describe how features currently operate; they are not promises that features will remain unchanged.

5. Seeds

Seeds are in-platform points used to participate in Industree. The following terms apply to Seeds, and you acknowledge and agree to each of them:

• Seeds are not currency and have no monetary value. Seeds cannot be purchased, sold, redeemed for cash, transferred between accounts, or exchanged for anything of monetary value outside the Platform.
• Seeds are earned, not bought. Seeds are awarded for participation, accuracy, referrals, submissions, and similar activity. We do not sell Seeds.
• Seeds are a license, not property. Seeds represent a limited, revocable license to use certain Platform features. You do not own Seeds, and they confer no equity, ownership, or financial interest in Industree.
• We may adjust Seeds. We may grant, deduct, expire, recalculate, or reset Seeds balances — including to correct errors, address abuse, or change how the Platform works.
• Seeds may be forfeited. If your account is suspended or terminated, or if you violate these Terms, your Seeds may be reduced or eliminated without compensation.

6. Forward-Looking Plans, Including Any Future Token

Industree has described plans that may include, in the future, a community token referred to as “$BLOOMS,” an associated allocation or “airdrop” based on a snapshot of Seeds balances, and related features. You acknowledge and agree to the following:

• These are plans, not promises. Any future token, snapshot, airdrop, allocation, governance feature, or revenue-related mechanic is a forward-looking intention only. We make no commitment that any of these will launch, launch on any timeline, or take any particular form. They may be changed, delayed, or abandoned entirely.
• No guarantee of value or conversion. We do not guarantee that Seeds will ever be converted into any token, that any token will have any value, that any token will be tradable or liquid, or that you will receive any allocation of any kind.
• Not an investment. Your use of the Platform, your accumulation of Seeds, and your participation in the community are not investments. You should not use the Platform, earn Seeds, or participate in any contest in the expectation of financial profit or return. Nothing on the Platform is an offer or solicitation to buy or sell any security, and nothing here is investment, financial, legal, or tax advice.
• Eligibility and compliance. Any future token features, if launched, may be subject to eligibility requirements, geographic restrictions, identity verification, and applicable law, and may exclude users in certain jurisdictions.

If any of the above conflicts with marketing materials, the FAQ, or other descriptions of Industree’s roadmap, these Terms control.

7. User Content and Submissions

“User Content” means anything you submit, post, or provide through the Platform, including artist submissions, profile information, comments, and other materials.

• Your responsibility.You are solely responsible for your User Content. You represent that you have the rights necessary to submit it and that it does not infringe anyone’s rights or violate any law.
• License to us. You grant Industree a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, display, reproduce, adapt, and use your User Content to operate, promote, and improve the Platform.
• Third-party music data.Artist profiles and submissions may incorporate data from third-party services such as Spotify and YouTube. You agree not to misuse that data and to comply with those services’ terms where applicable.
• No obligation to publish. We may review, refuse, remove, or restrict any User Content at our discretion, including submissions that we determine are illegitimate, infringing, spam, or otherwise inappropriate.

8. Acceptable Use

You agree not to:

• Manipulate contests, voting, predictions, referrals, leaderboards, or rewards, including through bots, scripts, automated activity, vote farming, collusion, or multiple accounts;
• Submit false, misleading, infringing, or unlawful content, or claim an artist profile you do not control;
• Interfere with, probe, or disrupt the Platform’s security, infrastructure, or other users’ access;
• Access the Platform through unauthorized means, scrape it without permission, or reverse-engineer it except as permitted by law;
• Use the Platform to harass, defraud, or harm others, or for any unlawful purpose.

We may investigate suspected violations and take any action we consider appropriate, including removing content, adjusting Seeds, and suspending or terminating accounts.

9. Industree’s Intellectual Property

The Platform, including its software, design, text, graphics, the Industree name and logo, the botanical brand system (such as Seeds, Blooms, and Roots), and other content we provide, is owned by Industree or its licensors and is protected by intellectual property laws. We grant you a limited, personal, non-transferable, revocable license to use the Platform for its intended purpose. You may not copy, modify, distribute, or create derivative works from our materials without our prior written permission.

10. Third-Party Services and Links

The Platform may link to or integrate with third-party services. We do not control and are not responsible for third-party services, their content, or their practices. Your use of third-party services is governed by their own terms.

11. Privacy

Your use of the Platform is subject to our Privacy Policy, which explains how we collect and use your information. By using the Platform, you consent to the practices described there. We use your email and phone for verification and notifications, and we do not sell your personal data to third parties.

12. Disclaimers

The Platform is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Platform will be uninterrupted, secure, error-free, or that any data (including Seeds balances, contest results, or rewards) will be accurate or preserved.

To the extent your jurisdiction does not allow the exclusion of certain warranties, the above exclusions apply to the fullest extent permitted by law.

13. Limitation of Liability

To the fullest extent permitted by law, Industree and its members, managers, officers, contractors, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, Seeds, or anticipated token allocations, arising out of or relating to your use of the Platform, whether based in contract, tort, or any other theory, even if we have been advised of the possibility of such damages.

Our total liability for all claims relating to the Platform will not exceed one hundred U.S. dollars ($100).

14. Indemnification

You agree to indemnify and hold harmless Industree and its members, managers, officers, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your User Content, or your violation of these Terms or applicable law.

15. Suspension and Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, including for violations of these Terms, suspected abuse, or legal or regulatory reasons. You may stop using the Platform at any time. Upon termination, your right to use the Platform ends, and your Seeds and any associated benefits may be forfeited. Sections that by their nature should survive termination — including those on intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and may provide additional notice. Your continued use of the Platform after changes take effect means you accept the updated Terms. If you do not agree, you must stop using the Platform.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Platform will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.

18. Miscellaneous

These Terms, together with the Privacy Policy and any policies referenced here, constitute the entire agreement between you and Industree regarding the Platform. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or transfer of the Platform. Headings are for convenience only.
